Streaming Videos Terms and Conditions

Definitions

“ITW” means Ideas That Work, whose registered offices are situated at 7 Murray Street, Prahran, Victoria, Australia 3181.

“Product” means the streaming video content.

“Resource Material” means documents such as trainers’ guides and other support materials that are available as bonus materials with some of the streaming video subscriptions.

“Subscriber” means the person(s) and/or organisation acquiring the Product(s) for the benefit of the Subscriber or the Subscriber’s organisation/ institution and Authorised Users.

“Authorised Users” at an educational institution or organisation involved in educational activities are the Subscriber’s currently enrolled students, faculty, staff, affiliated researchers, distance learners, and visiting scholars.

“NonCommercial” means not for any commercial advantage or monetary compensation. For purposes of ITW’s streaming video license, the Subscriber can share the video with Authorised Users through the tools provided by ITW. For example, depending on the type of licence purchased (Standard or PRO) sharing a private link with Authorised Users or embedding the video into a secure learning management system that can only be access by Authorised Users is considered to be NonCommercial.

Permitted Use of Product

On purchase of a 12 month subscription licence the Subscriber may use and allow Authorised Users to use the Product(s) for teaching, induction, research, self-study, presentations, and non-commercial multimedia projects for use in the educational institution where the Subscriber is employed, provided no admission or other fees are charged for public viewing. Authorised Users may view or exhibit the Product(s) on a computer or network, learning management system, mobile device, or secure website. The Subscriber may save, organise, and share Products on with Authorised Users using tools provided by ITW or other means as permitted by this Agreement.

On purchase of a 12 month subscription the Subscriber may adapt, customise and print any Resource Materials that are offered with the Product(s) for teaching, research, self-study, presentations, and non-commercial multimedia projects for use in the educational institution where the Subscriber is employed. Authorised Users may view or exhibit the Resource Materials on a computer or network, learning management system, mobile device, or secure website. The Subscriber may save, organise, and share Resource Materials with Authorised Users using tools provided by ITW or other means as permitted by this Agreement.

On purchase of a 24 hour access subscription licence the Subscriber has unlimited private access to the Product and any Resource Material for 24 hours. The Subscriber may not transfer or share access to the Product(s) or any Resource Materials made available to them on the purchased 24 hour access subscription.

Any rights not expressly granted in this license are reserved to ITW.

Restrictions on Use of Product

The Subscriber may not decompile or reverse engineer the Product(s); modify or create a derivative work; remove, obscure, or modify copyright notices; sell, distribute, or commercially exploit the Product(s); or assign or sublicense this Agreement. Subscriber may not transfer or share access to the Product(s) to other locations, organisations or other institutions except as provided herein or unless permission is specifically granted in advance by ITW. Subscriber or Authorised Users may not post or otherwise distribute the Product(s) on any network accessible to non-authorised users, including the internet and World Wide Web. Subscriber may not allow users to download the streaming videos or otherwise make copies. Subscriber agrees to take reasonable measures to prevent access by unauthorised parties and shall notify ITW promptly of any such unauthorised access or use. Subscriber shall be liable for the acts or omissions of Authorised Users access to and use of the Product and Resource Material as though they were the acts or omissions of the Subscriber.

Pricing

The price of the streaming video subscriptions has been based on fair and reasonable use by you as the Subscriber and other Authorised Users in your institution or organisation.

Termination

If the Subscriber breaches any term of this Agreement, ITW may, in addition to its other legal rights and remedies, terminate this video subscription 7 days after notice to Subscriber, if Subscriber has not remedied the breach within the 7 days. Any termination will not affect any obligation or liability of a party arising prior to termination.

Variation

ITW reserves the right to make changes to these Terms and Conditions at any time. Changes to these Terms and Conditions will be announced by sending a notice to the Subscriber. Subscribers’ and Authorised Users’ continued use of the ITW website will be deemed acceptance of any such changes.

Availability of the subscription platform and any videos you have a current subscription to

Ideas That Work shall use commercially reasonable endeavours to make the subscription platform, the videos you have subscribed to 24 hours a day, seven days a week, except for:

an event of Force Majeure; or
planned maintenance and unscheduled maintenance provided that where it is possible to do so Ideas That Work has used reasonable endeavours to give Subscriber advance notice of such maintenance.

Force Majeure

ITW will not be responsible for any delay or failure in performance resulting from any cause beyond its control.

Entire Understanding

This Agreement constitutes the entire understanding of the parties and supersedes all prior communications, understandings, and agreements relating to the subject matter hereof, whether oral or written.

Pricing

All prices on the Ideas That Work website are quoted in Australian Dollars and include a 10% Good and Service Tax GST. Prices are subject to change without notice.

DVD Terms and Conditions

DVD Subscribers outside Australia

All DVDs are in PAL format and prices on the Ideas That Website are quoted in Australian Dollars and include a 10% Goods and Services Tax (GST) which does not apply to DVD sales outside Australia.

Orders for overseas sales must be prepaid by credit card in Australian Dollars (Visa, MasterCard). By indicating a country other than Australia in the address details, the 10% GST is automatically deducted from the DVD purchase price and overseas postage and handling charges are added.

DVD Preview Policy

A short clip of all our DVDs is available on the website for you to preview.

DVDs sent out on a preview basis with an invoice, or are prepaid, are done so on a 100% satisfaction guarantee basis that is valid for 14 days from the time the goods are received.

If the DVDs are not suitable for your needs they must be returned within 14 days from the time you receive them and in “as new” condition. If for any reason you are not able to return the DVDs within 14 days, contact Ideas That Work immediately and request an extension as there may be a charge applied for late returns.

Goods not returned in “as new” condition will not be accepted under the preview policy and the full price of the goods will be charged.

It is illegal to use a preview DVD for training purposes or show it to an audience. DVDs on preview are for evaluation purposes only and cannot be used for training or shown to an audience until they have been purchased.

DVD returns and refunds policy

If for any reason you are not completely satisfied with your purchase we will give you a 14-day money-back guarantee from the time you receive the goods. Goods are dispatched under the condition that you or your organisation pays for all postage and handling charges.

This refund policy does not apply to goods which have been worn or used, damaged after delivery, or if any attempt has been made to alter the product or if they have been dropped or broken. All products must be returned in their original condition, unmarked and undamaged, otherwise the full price of the goods will be charged. All return postage costs are to be paid by the buyer.

We recommend that you return the product, with good padding, via Registered post. You assume any risk of lost, theft or damaged goods during transit; therefore we advise you take out shipment registration with your postal carrier. Ideas That Work will not be responsible for parcels lost or damaged in transit if you choose not to register them.

If the goods have been paid for in advance then a refund will be issued immediately on receipt of the returned goods. Or if you prefer, a credit note can be raised for you to spend on any of our other products.

All care is taken that when the goods are dispatched they are in perfect condition. If you receive a faulty product please contact Ideas That Work immediately. Any faulty goods will be replaced immediately on receipt of the faulty product.

All goods remain the property of Ideas That Work until paid for in full.

All DVDs on the Ideas That Work website are copyrighted. Unless other arrangements have been made with Ideas That Work, you cannot:

2. Transmit such by electronic means, such as closed circuit or cable of any other electronic means, present or future, of any kind.
3. Make a backup or archival copy of the DVD.

4. Exhibit such in commercial cinemas.
All the streaming videos on the Ideas That Work website are copyrighted and Subscribers are bound by the Streaming Videos Terms and Conditions.
Note: The restrictions listed above apply to the video or software as a whole or in part and include, but are not limited to, the sound-track and visuals within the film.
